We are seeking to hire an experienced attorney to serve as the General Counsel of the corporation and be a trusted advisor to the company’s executive leadership team.  Reporting to the Chief Operating and Chief Financial Officer, the General Counsel will be directly responsible for the management of the legal and governance processes within the company; which include, but is not limited to: employment, intellectual property, leasing & contracts, and corporate governance.  Additionally, given the company’s focus on real estate, as both a tenant and landlord, the General Counsel will assume a leadership role in structuring, negotiating, and advising management throughout the lease approval process as well as acquisition and divestiture of commercial real estate.  The General Counsel will also be responsible for managing the insurance and risk management activities within the company.  Through each of these responsibilities, the General Counsel will manage the relationships and work of outside counsel and other advisors.  Lastly, the General Counsel must be an individual who is clearly aligned with the executive leadership team to provide sound legal advice regarding the risks and benefits to business decisions.  



  • Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on the legal and implications of all matters.
  • Serves as the key lawyer/legal advisor on all major business transactions and negotiates critical contracts.
  • Judges the merits of court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes when warranted.
  • Oversee and manage the legal function of the corporation comprised of two direct and all outside counsel relationships.
  • Actively manage third-party relationships, including setting and monitoring engagements, budgets and billings, evaluating existing relationships, making new legal/professional provider recommendations, and actively managing cost controls and service efficiencies.
  • Evaluate and analyze current legal and compliance operations to identify risks, cost controls and process enhancements.
  • Create and implement legal policies, procedures and controls to ensure the effective and efficient operation of the legal functions, with a focus on continuous improvement and risk management.
  • Assist in the development and implementation of and training related to the company’s policies and procedures.
  • Provides oversight to the company’s insurance and risk management programs
  • Advise on the legal aspects of the company’s financing sources.

Job Requirements


The ideal candidate will possess a superior education and have developed a diverse legal and business background through client engagements and case work.  They will be adept at identifying the legal and commercial risks associated with business issues and be able to translate that knowledge into sound legal advice.  They will have gained experience in legal aspects of commercial real estate acquisition, development, financing, leasing, and divestiture.  Further, they will have the experience or interest to expand their knowledge of employment law, intellectual property law and corporate governance. 

Specific qualifications include:

  • Minimum of 8+ years of prior relevant professional experience.
  • A Juris Doctorate degree from an ABA – accredited law school, and state bar membership in good standing.
  • Experience on either the lessor/developer or lessee side of real estate transactions.
  • Experience working in employment law, intellectual property law, or corporate governance is a plus.
  • An individual who will thrive in a fast-paced entrepreneurial environment and is comfortable being part of a business undergoing change.
  • An individual who is approachable, trustworthy and dependable, with exceptional interpersonal and team development/team-oriented skills.
  • The position will be located at either our Birmingham, AL or Charleston, SC office.
  • Ability to travel up to 25%
